Trade Account Terms of Supply
These are the terms that apply to all Wine Chateau trade (wholesale) accounts. A copy is sent to every approved trade customer.

1. The parties
1.1 Supplier: Wine Chateau Ltd, a company registered in England and Wales (company number 13516122), registered office Flat 18 Imperial Place, 24 St. Andrews Street, Kettering, NN16 8AX; trading address Unit 17A, Bell Plantation Garden Centre, Watling Street, Towcester, NN12 6GX ("we", "us", "our").
1.2 VAT registration number GB 398 4902 41. Premises licence LN/202200127 issued by West Northamptonshire Council. HMRC Alcohol Wholesaler Registration Scheme (AWRS) Unique Reference Number XEAW 000 0011 7441.
1.3 Customer: the business named in the approved trade account application (Schedule 1) ("you", "your").
2. Definitions
2.1 Business Day: a day other than a Saturday, Sunday or public holiday in England.
2.2 Contract: a contract for the supply of Goods formed under clause 5.
2.3 Goods: wines and spirits listed on our online store that are available to trade accounts.
2.4 Excluded Products: events and tastings, accessories, mixed cases, gift hampers and any product we mark as not available to trade accounts.
2.5 Order: an order placed by you through your trade account.
2.6 Retail Price: our published VAT-inclusive retail price for the Goods on the date of your Order.
2.7 Trade Account: an account on our online store that we have approved for trade purchasing under these Terms.
2.8 Trade Price List: our list of prices for the Goods, excluding VAT, available through your Trade Account and updated in accordance with clause 6.3. Each price identifies the product and the unit or quantity to which it applies. We will provide a copy on request.
3. Application of these Terms
3.1 These Terms apply to every Order placed through a Trade Account and to every Contract, to the exclusion of any other terms you seek to impose or which are implied by trade, custom or course of dealing.
3.2 Trade Accounts are for business purchases only. Our consumer terms of service do not apply to purchases made under these Terms.
3.3 You accept these Terms by signing Schedule 1 or by ticking the acceptance box on our online trade account application. Placing an Order also confirms your acceptance of the version of these Terms in force on the date of the Order.
4. Opening and operating a Trade Account
4.1 To apply for a Trade Account you must provide the information requested in Schedule 1, including your company registration number (where applicable), VAT registration number and, where you sell alcohol by retail or on your premises, your premises licence number.
4.2 As an approved wholesaler under the Alcohol Wholesaler Registration Scheme, we carry out due diligence on our trade customers. You authorise us to verify the information you give us, including with Companies House, HMRC and the relevant licensing authority, and to keep records of those checks.
4.3 We may refuse an application, and may suspend or close a Trade Account, at our discretion, including where we cannot complete our due-diligence checks.
4.4 You must notify us in writing within 7 days of any change of ownership, name, address, VAT status or licence status, or if any licence you hold is suspended, reviewed or revoked.
4.5 You are responsible for keeping your Trade Account login details secure and for all Orders placed through your Trade Account.
5. Orders and acceptance
5.1 You place Orders through your Trade Account on our online store. Each Order is an offer by you to buy the Goods on these Terms.
5.2 Every Order is subject to our review and approval, including stock availability and the credit limits in clause 9. A Contract is formed only when we approve the Order and confirm our approval to you in writing (including by email). An automatic order acknowledgement is not an acceptance.
5.3 Minimum order value: £250 excluding VAT, calculated at the applicable trade prices after any further discount expressly applicable to your Order, and excluding delivery charges.
5.4 Wines must be ordered in multiples of 6 bottles of the same wine. Cases of different wines cannot be mixed. Spirits may be ordered by the single bottle.
5.5 Excluded Products are not available through a Trade Account and are not supplied at trade prices.
5.6 We may decline or cancel an Order (before or after approval) if the Goods are unavailable, if there is an obvious pricing or description error, if the Order would exceed the limits in clause 9, or for legal, licensing or regulatory reasons. We will refund or credit any amount paid for Goods we do not supply.
5.7 Vintages and packaging may change from time to time. We may supply a later vintage of the same wine unless you tell us when ordering that the stated vintage is essential. However, Mileștii Mici wines are supplied only in the vintage stated on the product page when you place your Order. We will not substitute another vintage. If that vintage is unavailable, we will contact you to agree an alternative or cancel the affected part of your Order and refund any amount paid for it. A credit may be provided instead of a refund only with your agreement.
6. Prices and VAT
6.1 The trade price of each item of Goods is the price presented to you from our Trade Price List immediately before you submit your Order, subject to any further discount expressly applicable to that Order. Trade prices are applied when you are logged in to your approved Trade Account. They are set independently of our Retail Prices and are not calculated as a percentage discount from them. Each Order remains subject to approval under clause 5.2.
6.2 When you are logged in to your Trade Account, we display the trade price per bottle excluding VAT, the corresponding trade price per bottle including VAT and, where applicable, the price for a case of six bottles excluding VAT. We also display our VAT-inclusive Retail Price as a non-binding recommended retail price for reference. You remain free to set your own resale prices.
VAT is chargeable at the applicable rate. Before you submit your Order, we show the amounts payable for the Goods, VAT and any delivery charges, and the total payable. Your VAT invoice itemises the amounts excluding VAT, the VAT charged and the total payable.
6.3 We may update the Trade Price List, our Retail Prices and delivery charges for future Orders. We will give existing Trade Account holders at least 30 days’ written notice before an increase in their trade prices or delivery charges takes effect. Reductions may take effect immediately.
Changes do not alter the prices or delivery charges presented for an Order already submitted, including an Order awaiting approval. This does not prevent us from declining an Order or addressing an obvious pricing error under clause 5.6. Any replacement Order at a different price requires your agreement.
Changes to our Retail Prices do not themselves change trade prices. Amendments to these Terms remain subject to clause 17.1.
6.4 Prices include duty where applicable and are in pounds sterling.
7. Delivery and collection
7.1 We deliver to addresses in England, Scotland and Wales only ("UK mainland"). We do not deliver to any island, including (without limitation) the Isle of Wight, the Isles of Scilly, the Isle of Man, Anglesey, Arran, the Hebrides, Orkney and Shetland, nor to Northern Ireland, the Channel Islands or British Forces (BFPO) addresses. Orders for these destinations will be declined, or may be collected from our Towcester premises.
7.2 Delivery charges (excluding VAT):
(a) Orders from £250.00 to £999.99 excluding VAT: £20.00 plus VAT.
(b) Orders of £1,000.00 or more excluding VAT: free.
7.3 Our typical lead time is 3 to 4 Business Days from approval. Delivery dates are estimates only and time of delivery is not of the essence.
7.4 Deliveries require the signature of a person aged 18 or over at the delivery address. Goods will not be left unattended. Reasonable costs of a failed or repeat delivery caused by you may be charged to you.
7.5 You may collect approved Orders free of charge from our Towcester premises once we confirm they are ready. The person collecting must be aged 18 or over and may be asked for identification and the Order confirmation.
8. Payment terms
8.1 Payment is due 30 days from the date of our VAT invoice ("Net 30"). We issue the invoice when we approve the Order. Each VAT invoice will show our VAT registration number and our AWRS Unique Reference Number.
8.2 All payments are collected by Direct Debit through our payment provider, GoCardless. You must set up a Direct Debit mandate before we dispatch your first Order. We will collect each invoice on or shortly after its due date and will give you advance notice of each collection as required by the Direct Debit scheme rules.
8.3 You must keep your Direct Debit mandate active while your Trade Account is open and while any amount is outstanding. If a mandate is cancelled or a collection fails, the invoice becomes payable immediately by bank transfer to the Wine Chateau Ltd bank account shown on our VAT invoice, quoting the invoice number.
8.4 We will never change our bank details by email. If you receive a message claiming that our bank details have changed, you must not act on it and must telephone us on 07493 217324 to confirm before making any payment. We are not responsible for payments made to any other account.
8.5 You may not withhold, set off or deduct any amount from payments due to us.
9. Credit limit
9.1 Unless we agree otherwise in writing, your credit limit is £2,000 excluding VAT in total outstanding (invoiced but unpaid, plus approved but uninvoiced) Orders.
9.2 You may have no more than 2 unpaid invoices at any time.
9.3 We will not approve an Order that would take you over the credit limit or create a third unpaid invoice. These limits apply automatically and cannot be overridden on an individual Order.
9.4 We may review, reduce or withdraw your credit limit at any time, including after a late or failed payment.
10. Late payment and suspension
10.1 If you do not pay any amount by its due date, we may charge statutory interest and fixed-sum compensation under the Late Payment of Commercial Debts (Interest) Act 1998, together with our reasonable costs of recovery.
10.2 If any payment is late or fails, we may suspend your Trade Account, withhold or cancel approved Orders not yet dispatched, and require payment in advance for future Orders.
11. Risk and ownership
11.1 Risk in the Goods passes to you on delivery or when you collect them.
11.2 Ownership of the Goods does not pass to you until we have received payment in full for those Goods and for all other sums then due from you. Until then you must store the Goods so they are identifiable as ours and keep them insured. You may resell the Goods in the ordinary course of your business, but we may recover any Goods still in your possession if payment is overdue or clause 15.2 applies.
12. Damaged, short and incorrect deliveries
12.1 You must inspect the Goods on delivery and notify us of any damage, shortage or incorrect item within 48 hours, with your order number and photographs of the Goods and packaging.
12.2 Where a valid claim is notified in time, we will, at our option, replace the Goods or issue a credit or refund for the affected Goods. If you do not notify us within 48 hours, the Goods are treated as delivered in good condition, except for latent faults which you must notify within 7 days of discovery.
12.3 We do not accept returns of Goods that are correctly supplied and not faulty.
13. Your responsibilities
13.1 You must hold and maintain all licences, registrations and permissions required to buy, store and resell alcohol, and you must comply with all laws on the sale of alcohol, including age restrictions.
13.2 You confirm that Goods bought under these Terms are for use in the course of your business.
14. Liability
14.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
14.2 Subject to clause 14.1, we are not liable for any loss of profit, loss of business, loss of goodwill, or any indirect or consequential loss.
14.3 Subject to clause 14.1, our total liability under or in connection with each Contract is limited to the price of the Goods under that Contract.
14.4 We are not liable for any delay or failure caused by events outside our reasonable control.
15. Term and termination
15.1 Either of us may close your Trade Account on 30 days' written notice.
15.2 We may close your Trade Account immediately by written notice if you fail to pay any amount when due, breach these Terms, become insolvent or enter any insolvency procedure, cease to trade, or lose any licence needed for your business.
15.3 On closure, all outstanding invoices become immediately due, and clauses 8, 10, 11, 14 and 17 continue to apply.
16. Data protection
16.1 We process personal data about you and your staff in accordance with our Privacy Policy, available on our website, for the purposes of operating your Trade Account, completing due-diligence checks, collecting payments and meeting our legal obligations.
17. General
17.1 We may amend these Terms by giving you at least 30 days' written notice. Amended Terms apply to Orders placed after the change takes effect.
17.2 These Terms, Schedule 1 and each approved Order form the entire agreement between us for the Goods.
17.3 If any provision is found invalid or unenforceable, the rest of these Terms continue to apply. A delay in enforcing any right is not a waiver of it.
17.4 Notices must be in writing and may be sent by email to the addresses in Schedule 1 (for you) and support@winechateau.co.uk (for us).
17.5 You may not assign or transfer your rights under these Terms without our written consent.
17.6 These Terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
Schedule 1 – Trade account details and acceptance
Schedule 1 is completed through our online Trade Account Application. Ticking “I accept the trade terms” on the application confirms acceptance of these Terms under clause 3.3.
